Die sachliche Rechtfertigung des Bezugsrechtsausschlusses ist dem polnischen und deutschen Aktienrecht bekannt. Ob diese Grundsätze auf den Verschmelzungsbeschluß übertragen werden können ist hingegen umstritten. Jedoch stellt das polnische Aktienrecht beim Verschmelzungsbeschluß börsennotierter und nichtbörsennotierter Gesellschaften unterschiedliche Mehrheitserfordernisse auf. Diese grundlegende Unterscheidung nach der Börsennotierung wird rechtsvergleichend auf die Diskussion zur sachlichen Rechtfertigung übertragen. Darauf aufbauend werden aktuelle Entwicklungen im Aktienrecht und die Zulassung des Ausschlusses eines Minderheitsaktionärs («squeeze out») zum Anlaß genommen, die Voraussetzungen der sachlichen Rechtfertigung in Frage zu stellen und fortzuentwickeln.
