Trusts emerge regularly in relationship property disputes and they are generally well understood to take priority whenever there is a competition between the trust and a claim that the trust property otherwise falls within the pool of relationship assets available for division. Nevertheless, there appears to be some confusion over the boundaries of the Property (Relationships) Act 1976 (PRA) as it applies to trust property and this can cost a spouse, partner or beneficiary property that is rightfully theirs. This article explains three important points that ought to be borne in mind by practitioners working in this area, illustrated by an analysis of three recent decisions.

This paper examines the role played by shams in tax avoidance in New Zealand and its relationship with the general anti-avoidance rule (GAAR) encapsulated in statutory provisions. It shows that as long as the orthodox conception of the sham is employed, there is no need for such a mechanism to combat tax avoidance in a jurisdiction that has a GAAR.

This article considers the New Zealand Court of Appeal decision in Clayton v Clayton, which concerned a relationship property dispute involving assets held in trusts. The authors provide a brief discussion of the relationship property claims that Mrs. Clayton made against Mr. Clayton''s various trusts. In particular, the authors focus on the Court of Appeal''s rulings that one of the trusts was not illusory but that Mr Clayton''s power to add and remove beneficiaries was property. The article concludes that this decision was incorrect with relation to relationship property law and trust law.

Jessica Palmer was born in Chicago, Illinois. Her mother became a professional clown when she was in her teens, leaving Palmer irrevocably altered. She received her degree in nursing and worked in hospitals, starting with medical-surgical units. Eventually, she settled into psychiatric nursing where she got along famously with her patients. Her medical background presented opportunities to write. In 1976, she was asked to develop a script for educational television, entitled Journey to Nowhere, about the medical aspects of addiction. Later she became a technical writer for the safety and health department at Schlumberger Well Services with an emphasis on explosives and radiation. The job took her to England where she became a British subject. The fates decreed her combined experiences constituted a hazard to herself and others. Palmer returned to her first love, genre fiction. She wrote her first novel at the age of nine - ninety-nine typewritten pages about her then-hero Max Smart of Get Smart. Altogether, she has had 28 books published in fiction and non-fiction, including university textbooks about Native American history and culture. Palmer has received numerous awards in journalism, spanning a period from 1980 to 2014. Dark Lullaby, published by Pocket Books, was nominated for HWA''s Bram Stoker award in 1991. Now she concentrates on satire. Parallel Universe Publications released her collection of short stories, Other Visions of Heaven and Hell in 2015.

The trust is a mental construct used to explain a type of guardianship of property. There are traditionally two ways to understand the trust - one sees the trust as creating proprietary rights and duties; the other as establishing personal rights and duties as between the trustee and beneficiary. This articles considers the evidence for both and argues that it is important to clarify the conceptual basis of the trust because it can affect the substance of trusts law. This point is illustrated by the various answers that have been given to the particular question of whether beneficiaries have a right to access trust information.

While contractual subrogation is understood as a function of agreement or common intention between the relevant parties to assign rights, justifying non-contractual subrogation has proved more difficult. The dominant view appears to be that subrogation arises as a response to what would otherwise be an unjust enrichment and for which a proprietary remedy is readily available. This article argues that non-contractual subrogation gives rise to a new proprietary right in the claimant which cannot be readily justified on the basis of unjust enrichment nor is it simply the vindication of an existing property right. Instead, consideration of how equity normally recognises property rights shows that the intention or conscience of the defendant owner must be a crucial element of the analysis.

It is trite law that a director is a fiduciary to his or her company and must act in the interests of the company. However, identifying the “interests of the company” is not so straightforward. Different theories of the nature of the company and different stakeholders interested in the company all present varying claims on what constitutes the company and its interests. This paper considered those arguments and suggests that, for the purpose of determining the object and content of the director''s fiduciary obligation, the interests of the company should be understood in the light of the company''s changing life cycle.

This article considers the doctrines of sham trusts and alter egos currently causing some controversy among trust lawyers. The author analyses recent decisions of the High Court involving allegations of sham trusts and alter egos and relevant authorities from other jurisdictions and assesses the legitimacy of the concepts in the context of established trusts law. While the author accepts the existence of sham trusts, she advocates for a narrower ambit limiting their application only to ab initio shams and rejects both emerging shams and alter egos. Further, the relevant intention with which sham trusts are concerned is only that of the settlor and there should therefore be no requirement of a common sham intention as a prerequisite to finding a sham trust.
